Terms and Conditions

1.1 Agreement

These Terms and Conditions (“Terms”) govern your use of the Fadnix Films website and the purchase of any services offered by Fadnix Films. By engaging our services, placing an order, or making any payment, you agree to be legally bound by these Terms. If you do not agree, do not use our services.

1.2 Services

Fadnix Films offers professional video editing, short-form content creation, YouTube automation editing, and e-commerce video ad production. Specific services, deliverables, timelines, and pricing are outlined in individual project proposals, packages, or invoices agreed upon prior to commencement.

1.3 Client Responsibilities

To ensure timely and high-quality delivery of your project, you agree to:

  • Provide all required raw materials, brand assets, and briefs in a timely manner and in the agreed format
  • Submit feedback and revision requests within the timeframes specified in your project agreement
  • Designate a primary point of contact authorized to provide approvals and direction
  • Ensure that all materials provided to Fadnix Films do not infringe on third-party intellectual property rights

Failure to fulfill these responsibilities may result in project delays, additional fees, or project suspension. Fadnix Films will not be held liable for delays caused by client-side inaction.

1.4 Payment Terms

  • All services require payment (deposit or full amount) before work begins, as specified in the project proposal
  • Remaining balances are due upon delivery of the final files, unless otherwise agreed in writing
  • Fadnix Films reserves the right to withhold delivery of final files until full payment is received
  • Prices are subject to change; however, changes will not affect confirmed and paid orders

1.5 Intellectual Property

Client-Provided Materials

You represent and warrant that you own or have the legal right to use all materials you submit to Fadnix Films. You grant Fadnix Films a limited, non-exclusive license to use those materials solely for the purpose of delivering your contracted services.

Deliverables and Ownership

Upon receipt of full payment, all rights to the final edited deliverables are transferred to you, the client. Until full payment is received, Fadnix Films retains all intellectual property rights to the deliverables.

Portfolio Rights

Unless you expressly opt out in writing prior to project commencement, Fadnix Films reserves the right to display final deliverables in our portfolio, case studies, and social media for the purpose of showcasing our work.

1.6 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in the course of the engagement and to not disclose such information to any third party without prior written consent, except as required by law.

1.7 Turnaround Time

Estimated turnaround times are provided in good faith and represent our standard production schedule. Timelines begin from the date all required assets and information are received from the client. Fadnix Films is not liable for delays resulting from:

  • Incomplete or late submission of client materials
  • Unclear or changing creative briefs
  • Force majeure events (natural disasters, pandemics, government actions, etc.)

1.8 Limitation of Liability

To the fullest extent permitted by applicable law, Fadnix Films shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the use of our services or deliverables. Our total liability under any claim shall not exceed the total amount paid by you for the specific project giving rise to the claim.

1.9 Indemnification

You agree to indemnify, defend, and hold harmless Fadnix Films and its team members from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or any content or materials you provide.

1.10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Fadnix Films is registered. Any disputes not resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

1.11 Modification of Terms

Fadnix Films reserves the right to modify these Terms at any time. Updated Terms will be posted on our website. Continued use of our services after any modification constitutes your acceptance of the revised Terms.
